Thrive Coworking – Canton and The Mill on Etowah

PARTNERSHIP AGREEMENT

BETWEEN

THE CHEROKEE COUNTY BOARD OF EDUCATION

AND

THRIVE COWORKING – CANTON AND THE MILL ON ETOWAH

This agreement entered into on this 15th day of August, 2024 by and between the Cherokee County Board of Education, hereinafter referred to as the “School Board ”and Thrive Coworking – Canton and The Mill on Etowah, hereinafter referred to as “Thrive/The Mill.”

WHEREAS, the School Board’s mission is to educate the emerging generation through learning environments designed to increase the performance of all students; and,

WHEREAS, Thrive’s mission is to create inspiring places where people love to work.  Thrive exists to offer a culture of service and hospitality for members and guests.  Thrive offers reservations of meeting rooms and spaces of varying sizes at its Mill on Etowah and Jones Building facilities in Canton for meetings and special events; and,

WHEREAS, The Mill’s mission is to provide the community with a retail marketplace, restaurants, a co-working environment and more showcased in the historic former Canton Cotton Mill on the banks of the Etowah River near downtown Canton. 

Now therefore in consideration of the covenants and conditions set forth herein the parties agree as follows:


ARTICLE I

The parties agree that the foregoing recitals are true and correct and incorporated herein by reference:

ARTICLE II

The School Board will:

1.    Promote Thrive/The Mill programs and events through existing communication channels, as permitted by School Board policy.
2.    Provide the use of school system facilities’ parking lots for Thrive/The Mill functions, programs and contests as available, waiving the rental fee as per the Community Use of System Facilities Policy (KG).
3.    Promote Thrive/The Mill internship opportunities to high school students. 
4.    Encourage school club, groups, and/or bands to perform on the stage at the green at The Mill. 
5.    Encourage school clubs, groups, and athletic teams to host banquets, fundraisers, or meetings at Thrive/The Mill venues. 
6.    Schools that partner with Thrive/The Mill on a “Spirit Night”-type event will, through a separate school-level partnership agreement, will provide opportunities for Thrive/The Mill to share information about its programs with staff and/or student families. 
7.    Pursue joint grant opportunities in both parties’ best interests.

ARTICLE III

Thrive/The Mill will:

1.    Provide a $600 credit per CCSD school each school year (July 1-June 30) to use toward the cost of room use for meetings, retreats, etc.
2.    Provide all CCSD employees, who present a CCSD ID as part of the reservation process, with a 10% discount on room costs.
3.    Abide by the rules and regulations contained in the facility use contract at each CCSD facility and those contained in the Community Use of System Facilities Policy (KG), including custodial and supervisory fees when applicable.
4.    Provide volunteer opportunities for school clubs or groups. 
5.    Provide venue or meeting room space to any school club or group for banquets, parent meetings, workshops, training, or events.
6.    Offer field trips at minimal cost.
7.    Provide internship opportunities to high school students.
8.    Host “Spirit Night”-type events in partnership with individual schools with the details to be determined through a separate school-level partnership agreement.
9.    Pursue joint grant opportunities in both parties’ best interests.
10.    Accept all children for participation within its programs without regard to their gender, race, political affiliation, age, national origin or disability or any other discrimination recognized and prohibited by State or Federal Law. Children with handicaps must be provided all necessary levels of supervision and must be included within camp activities. As a result of this partnership agreement, Thrive must adhere to all local, State or Federal laws regarding education.


ARTICLE IV

The term of this agreement is August 15, 2024 through August 15, 2024. This agreement shall automatically renew for additional terms not to exceed five years unless either party notifies the other at least 60 days prior to renewal date.


ARTICLE V

All proposed amendments to this agreement shall be submitted to the Superintendent of Cherokee County Schools at PO Box 769, Canton, Georgia 30114, and to the Community Manager of Thrive Coworking – Canton and Director of Development & Leasing of The Mill on Etowah at 225 Reformation Pkwy Suite 200, Canton, GA 30114.
